Common use of Rights of Members to Capital Clause in Contracts

Rights of Members to Capital. No Member shall be entitled to interest on any contribution to the capital of the Company, nor shall any Member be entitled to the return of any capital of the Company except (i) upon the repurchase by the Company of such Member's Units pursuant to Section 4.2 hereof, (ii) pursuant to the provisions of Section 5.6(c) hereof or, (iii) upon the liquidation of the Company's assets pursuant to Section 6.2 hereof. Except as provided by applicable law, no Member shall be liable for the return of any such capital properly paid to such Member pursuant to the provisions of (i), (ii) and/or (iii) of the preceding sentence. No Member shall have the right to require partition of the Company's property or to compel any sale or appraisal of the Company's assets.

Except as provided by applicable law, no No Member shall be liable for the return of any such capital properly paid to such Member amounts except pursuant to the provisions of (i), (iiSection 5.6(c) and/or (iiiand Section 5.9(b) of the preceding sentencehereof. No Member shall have the right to require partition of the Company's property or to compel any sale or appraisal of the Company's assets.
