Rights of Ownership. All computer programs and procedures employed or developed by or on behalf of SMC to perform services required to be provided by SMC under this Agreement are the property of SMC. All records and other data except such computer programs and procedures are the exclusive property of the Company and all such other records and data shall be furnished to the Company in appropriate form as soon as practicable after termination of this Agreement for any reason.
