The Company has not granted or agreed to grant any registration rights, including piggyback rights, to any person or entity except set forth on Schedule 3(a)(xi). To the actual knowledge of the Company's President, no stockholder of the Company has entered into any agreements with respect to the voting of capital shares of the Company.
