Common use of Rights of Subordination Clause in Contracts

Rights of Subordination. The Subordinated Creditor agrees that no payment or distribution to the Secured Parties or the Administrative Agent pursuant to these provisions shall entitle the Subordinated Creditor to exercise any rights of subrogation in respect thereof until all Senior Indebtedness has been paid in cash in full and the Commitments have been terminated. The Subordinated Creditor agrees that these provisions shall not be affected by any action, or failure to act, by the Administrative Agent or the Secured Parties which results, or may result, in affecting, impairing or extinguishing any right of reimbursement or subrogation or other right or remedy of the Subordinated Creditor against the Debtor.
