Common use of Rights of Successor Agent Clause in Contracts

Rights of Successor Agent. Upon the execution by the Sixth Issuer and any Successor Agent of an instrument effecting the appointment of a Successor Agent, such Successor Agent shall, without any further act, deed or conveyance, become vested with all the authority, rights, powers, trusts, immunities, duties and obligations of its predecessor with like effect as if originally named as the relevant Agent herein and such predecessor, upon payment to it of the pro rata proportion of its administration fee and disbursements then unpaid (if any), shall thereupon become obliged to transfer, deliver and pay over, and such Successor Agent shall be entitled to receive, all monies, records and documents (including any Definitive Sixth Issuer Notes of the relevant class or classes of Sixth Issuer Notes, if any) held by such predecessor hereunder.
