Common use of Rights Upon Expiration Clause in Contracts

Rights Upon Expiration. At the end of the initial term, the Marketer shall have the option to renew its area marketer rights for an additional term as set forth in the then current form of Area Marketing Agreement, by acquiring successor area marketer rights, if the Franchisor authorizes a successor area marketer franchise in accordance with Section 16.3 below, and if the Marketer: a. At least 60 days prior to expiration of the term, executes the form of Area Marketing Agreement then in use by the Franchisor. The Marketer acknowledges that such agreement may contain terms which are materially different from those in this Agreement, including commission percentages and territories; b. Has complied with all provisions of this Agreement during the current term, including the payment on a timely basis of all fees due hereunder. "Compliance" shall mean, at a minimum, that the Marketer has not received written notification from the Franchisor of breach hereunder more than three times during the term hereof;
