Common use of Rights Upon Expiration Clause in Contracts

Rights Upon Expiration. Upon the expiration of this Agreement, neither party shall have any further rights or obligations, other than the obligation of Licensee to make any and all reports and payments due under Articles Four and Six and Section 9.5.3 with respect to events that occurred prior to such expiration (and the applicable Sections in Articles Four and Six and Section 9.5.3 shall survive such expiration for such purposes). Notwithstanding the above, Article One, Sections 2.4, 2.5, 2.6, 4.4.9, 6.3, Articles Seven and Eight, Section 9.4 and Article 10 shall also survive the expiration of this Agreement.

Upon the expiration of this Agreement, neither party shall have any further rights or obligations, other than the obligation of Licensee to make any and all reports and payments due under Articles Four Sections 3, 4 and Six and Section 9.5.3 10.8 with respect to events that occurred prior to such expiration in accordance with Sections 3.4, 4, 5.4, 5.5 and 5.6 (and the applicable all of which Sections referenced in Articles Four and Six and Section 9.5.3 this sentence shall survive such expiration for such purposes). Notwithstanding the above, Article OneSections 1, Sections 2.2, 2.3, 2.4, 2.56, 2.67 (as to activities conducted during the term of this Agreement), 4.4.98, 6.39, Articles Seven 10.5, 10.7, 10.8, 11.1, 11.2 and Eight, Section 9.4 and Article 10 12 shall also survive the expiration of this Agreement.

Notwithstanding the above, Article OneSections 1, Sections 2.4, 2.5, 2.6, 4.4.96, 6.37, Articles Seven 8, 9, 10, 11.6, 12.2 and Eight, Section 9.4 and Article 10 13 shall also survive the expiration of this Agreement.
