Common use of Road Show Expenses Clause in Contracts

Road Show Expenses. All costs and expenses of the Company associated with “road show” marketing and “due diligence” trips for the Company’s management to meet with prospective investors, including without limitation, all travel, food and lodging expenses associated with such trips incurred by the Company or such management, shall be paid for by the Company. Notwithstanding anything herein to the contrary, the Company shall not be responsible for any costs or expenses associated with “road show” marketing and “due diligence” trips to meet with prospective investors, including without limitation, all travel, food and lodging expenses associated with such trips incurred by the Underwriter on its own behalf.
