Role of the Collateral Agent. The parties hereto agree that, in acting hereunder, the Collateral Agent shall be entitled to all of its rights, powers, protections and immunities set forth in the Collateral Agency Agreement (and that, in the case of any conflict between the provisions of this Indenture and the provisions of the Collateral Agency Agreement in respect of such rights, powers, protections and immunities only, the Collateral Agency Agreement shall prevail).
