Roles and Responsibility. As of and after the License Agreement Effective Date, except as set forth in Sections 2.2.6, and subject to Section 2.3, Celgene will be the Development Lead Party for Licensed Products pursuant to this License Agreement in the ROW Territory, and will assume sole responsibility for, and control of, all activities relating to the Development of Licensed Candidates, Licensed Products and Licensed Diagnostic Products in the Field in the ROW Territory, and, except as otherwise set forth in this License Agreement, [***]. Protective devices deemed necessary to properly protect employees from injury shall be provided by the Employer. BINARIES AND DOCUMENTATION Binaries, source codes and documents will be archived / compressed and exchanged through a commonly accessible FTP server or through e-mails.

All such Research activities and the allocation of responsibility therefor between the Parties shall be set forth in a Research plan component of the Celgene Co-Co Development Plan. The costs of conducting the Research activities that are agreed by the JRDC in both the ROW Territory and the North America Territory in relation to the Celgene Co-Co Program shall be reflected in a Research budget approved with the applicable Research plan. Roles and Responsibility. The Data Processor must have a documented security policy that addresses information se- curity for all personnel employed by the Data Processor. The security policy must be re- viewed and updated at least annually. There must be a policy on the processing of personal data – it can be included in the information security policy. An inventory of policies & proce- dures must be created and maintained. An information security function must be responsible for security initiatives within the Data Processor’s organization. A named individual must be responsible for information security services delivered to the Data Controller. The Data Processor must have an updated information security risk assessment, which must be made available to the Data Controller before services are delivered or changed. Risk assessments of other external partiesaccess to data, systems and networks must be performed by the data processor. Roles and responsibilities related to the information security policy including processing of personal data must be clearly defined and described.
