Rollover of Shares and Options by Bakex Xxxestors. (a) Immediately prior to the Effective Time, each of the Bakex Xxxestors who owns shares of common stock, par value $.001 per share ("Bakex Xxxmon Stock"), of Bakex xxxl exchange the number of shares of Bakex Xxxmon Stock set forth opposite his name on Schedule II hereto for the number of shares of Series A Preferred Stock, par value $.001 per share ("Bakex Xxxies A Preferred Stock"), of Bakex, Xxries B Preferred Stock, par value $.001 per share ("Bakex Xxxies B Preferred Stock"), of Bakex xxx Series C Preferred Stock, par value $.001 per share ("Bakex Xxxies C Preferred Stock", and together with the Bakex Xxxies A Preferred Stock and the Bakex Xxxies B Preferred Stock, the "Bakex Xxxferred Stock"), of Bakex (xxch Bakex Xxxferred Stocks having the respective terms, rights and preferences set forth in Schedule VI hereto), in each case as set forth opposite his name on Schedule II hereto.
