Royalty Payments to Shares for listing on the Platform. We hereby assign our Royalty Interests in the Catalogue during the Listing Term to ANote for the purpose of transferring our Royalty Interests to Direct Listing Shares on our behalf. For the avoidance of doubt, we will retain ownership of the Direct Listing Shares until such time as any Direct Listing Shares are sold by us on the Secondary Market to a buyer of Direct Listing Shares on the Platform (i.e. a Transferee) after which we will own the balance of Direct Listing Shares that remain unsold (“Unsold Shares”). A “Share Owner” shall be the owner of any number of Direct Listing Shares and may refer both (i) to us (to the extent that we own either the Direct Listing Shares or any Unsold Shares) and (ii) to any Transferee.
