Common use of Royalty Reconciliation Clause in Contracts

Royalty Reconciliation. Together with the quarterly (or, in the case of the last Fiscal Quarter of Australian Borrower’s and its Subsidiaries’ Fiscal Year, annual) financial statements made available to Agent and Lenders pursuant to Section 7.1.1 and Section 7.1.2, as applicable, a report, in form acceptable to Agent in its sole discretion, reconciling the Aggregate Revenue reported by the Loan Parties to Agent pursuant to Section 2.9.1(c) for the most recently ended Fiscal Quarter to Aggregate Revenue actually received by Australian Borrower and its Subsidiaries for such Fiscal Quarter.
