Royalty Reports; Notice of Disputes. Promptly (but in any event within ten (10) Business Days) after (i) receipt by the Company or any of its Subsidiaries, a copy of any royalty reports or similar reports outlining fees to be paid or payable with respect to any Product from any third party Licensee or any notices of any disputes with respect to a Product, any Material Contract, any Product Intellectual Property Rights, or any Permitted Product Agreement, or (ii) production or delivery by the Company or any of its Subsidiaries, any royalty or similar reports in connection with any Royalty Monetization Transaction to which such entity is a party with respect to royalties or other fees paid or payable with respect to any Product.
