RSU Terms and Conditions. Each KAR RSU shall be subject to the same terms and conditions as set forth in the original KAR RSU, except as set forth below. Each SpinCo RSU issued pursuant to this Section 4.02(c) shall be subject to the same terms and conditions as set forth in the related KAR RSU before the Effective Time, except as set forth below.
