Common use of Rule 144 Reporting Clause in Contracts

Rule 144 Reporting. With a view to making available the benefits of certain rules and regulations of the Commission which may permit the sale of the Restricted Securities to the public without registration, the Company agrees to: (i) Make and keep public information available, as those terms are understood and defined in Rule 144 under the Securities Act; and (ii) Use its reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.

Rule 144 Reporting. With a view to making available the benefits of certain rules and regulations of the Commission which may at any time permit the sale of the Restricted Securities Shares to the public without registration, while a public market exists for the Shares, the Company agrees will use its commercially reasonable efforts to: (ia) Make make and keep public information available, as those terms are understood and defined in Rule 144 under the Securities Act144, at all times while Shares are outstanding; and (iib) Use its reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange ActAct (at any time it is subject to such reporting requirements).

Rule 144 Reporting. Rule 144 Reporting. With a view to making available to Purchaser the benefits of certain rules and regulations of the Commission which may permit the sale of the Restricted Securities to the public Stock without registration, the Company agrees to: (ia) Make make and keep public information available, as those terms are understood used and defined in Commission Rule 144 under the Securities Act; and144; (iib) Use use its reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of by the Company under the Securities Act and the Exchange Act.

Rule 144 Reporting. With a view to making available to the Holders the benefits of certain rules and regulations of the Commission SEC which may at any time permit the sale of the Restricted Registrable Securities to the public without registration, the Company agrees to use its reasonable best efforts to: (i) Make make and keep public information available, as those terms are understood and defined in Rule 144 under the Securities Act, at all times; and (ii) Use its reasonable best efforts to file with the Commission SEC in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.

With a view to making available the benefits of certain rules and regulations of the Commission which may at any time permit the sale of the Restricted Securities to the public without registration, after such time as a public market exists for the Common Stock of the Company, the Company agrees to: (i) Make and keep public information available, as those terms are understood and defined in Rule 144 under the Securities Act; and (ii) Use its reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.

Use its reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of the Company COMPANY under the Securities Act ACT and the Securities and Exchange Act.Act of 1934, as amended;

With a view to making available the benefits of certain rules and regulations of the Commission which may permit the sale of the Restricted Securities restricted securities to the public without registration, the Company agrees to: (i) Make make and keep public information available, available (as those terms are understood and defined in Rule 144 under the Securities Act144) at all times; and (ii) Use use its reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.

With a view to making available the benefits of certain rules and regulations of the Commission which may at any time permit the sale of the Restricted Securities to the public without registration, the Company agrees to use its commercially reasonable efforts to: (ia) Make and keep public information available, as those terms are understood and defined in Rule 144 under the Securities Act, at all times; and (iib) Use its commercially reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.

With a view to making available to the Holder the benefits of certain rules and regulations of the Commission which may permit the sale of the Restricted Registrable Securities to the public without registration, registration the Company agrees to use all reasonable efforts to: (ia) Make and keep public information available, as those terms are understood and defined in Rule 144 under the Securities Act; and; (iib) Use its reasonable best efforts to file File with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.; and

Rule 144 Reporting. With a view to making available to the Selling Holders the benefits of certain rules and regulations of the Commission which may permit the sale of the Restricted Securities to the public Consideration Shares without registration, the Company agrees to: (ia) Make make and keep public information available, as those terms are understood used and defined in Commission Rule 144 under the Securities Act144; and (iib) Use use its reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of by the Company under the Securities Act and the Exchange Act.

With a view to making available the benefits of certain rules and regulations of the Commission which may permit the sale of the Restricted Securities Registrable Shares to the public without registration, the Company agrees shall agree to: (ia) Make Use its best efforts to make and keep public information available, available as those terms are understood and defined in Rule 144 under the Securities Act; and (ii) Use its reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.;

With a view to making available the benefits of certain rules and regulations of the Commission which that may permit the sale of the Restricted Registrable Securities to the public without registration, the Company agrees to use its commercially reasonable efforts to: (ia) Make and keep public information regarding the Company available, as those terms are understood and defined in Rule 144 under the Securities Act, at all times from and after the date hereof; and (iib) Use its reasonable best efforts to file File with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange ActAct at all times from and after the date hereof.

With a view to making available the benefits of certain rules and regulations of the Commission which may permit the sale of the Restricted Securities to the public without registration, the Company registration Buyer agrees to use all reasonable efforts to: (ia) Make and keep public information available, as those terms are understood and defined in Rule 144 under the Securities Act; and (iib) Use its reasonable best efforts to file File with the Commission in a timely manner all reports and other documents required of the Company Buyer under the Securities Act and the Exchange Act.

Rule 144 Reporting. With a view to making available to the Investor the benefits of certain rules and regulations of the Commission which may permit the sale of the Restricted Securities Shares to the public without registration, the Company agrees to use commercially reasonable efforts to: (ia) Make and keep public information available, as those terms are understood and defined in Rule 144 promulgated under the Securities Act; and (iib) Use its reasonable best efforts to file File with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.

Rule 144 Reporting. With a view to making available the benefits of certain rules and regulations of the Commission which may at any time permit the sale of the Restricted Securities shares of Common Stock underlying the Warrants to the public without registration, the Company agrees to: to (ia) Make make and keep public information available, as those terms are understood and defined in Rule 144 under the Securities Act; and and (iib) Use its use all reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.

Rule 144 Reporting. With a view to making available the benefits of certain rules and regulations of the Commission which may permit the sale of the Restricted Registrable Securities to the public without registration, the Company agrees to: to use its reasonable best efforts to (ia) Make make available and keep public information available, as those terms are understood and defined in Rule 144 under the Securities Act; and Act and (iib) Use its reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.

With a view to making available the benefits of certain rules and regulations of the Commission which may at any time permit the sale of securities of the Restricted Securities Company to the public without registration, the Company agrees to use its best efforts to: (i) 9.1 Make and keep public information available, regarding the Company available as those terms are understood and defined in Rule 144 under the Securities Act; and (ii) Use its reasonable best efforts to file 9.2 File with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange ActAct after the date hereof.

Rule 144 Reporting. With a view to making available the benefits of certain rules and regulations of the Commission which that may permit the sale of the Restricted Securities its Common Stock to the public without registration, the Company agrees to use its commercially reasonable efforts to: (i) Make and keep available at all times adequate current public information available, as those terms are understood and defined with respect to the Company in accordance with Rule 144 under the Securities Act; and (ii) Use its reasonable best efforts to file with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.
