Common use of Rule 16b-3 Requirements Clause in Contracts

Rule 16b-3 Requirements. Notwithstanding any other provision of the Plan, the Board may impose such conditions on a Restricted Stock Award, Restricted Stock Unit, Performance Award or the exercise of an Option (including, without limitation, the right of the Committee to limit the time of exercise to specified periods) as may be required to satisfy the requirements of Rule 16b-3 of the Exchange Act (as such rule may be in effect at such time).
