Rules of Origin Rules Origin - a. Section of Article 4 (a) The good is wholly obtained or produced entirely in the territory of either Party as defined in article 4.26; (b) The good is produced in the territory of one or both parties exclusively from materials that qualify as originating in accordance with the provisions of this chapter; or (c) The good is produced in the territory of one or both parties using non-originating materials that conform to a change in tariff classification, a regional value content or other requirements as specified in annex 4.1. and the good complies with the other applicable provisions of this chapter. 1. The regional value content of the goods shall be calculated according to the following formula: [VCR (-) / vl = vmn mv) * 100 Where: VCR is the regional value content, expressed as a percentage; VL is the transaction value of the good adjusted on a FOB basis, except as provided in paragraph 2. in the event that there is no value or cannot be determined according to the principles of article 1 of the Customs Valuation Agreement; the same shall be calculated in accordance with this Agreement; and Vmn is the transaction value of non-originating materials adjusted on a CIF basis, except as provided in paragraph 4. in the event that there is no value or cannot be determined according to the principles of article 1 of the Customs Valuation Agreement; the same shall be calculated in accordance with this Agreement. 2. Where a good is exported directly by the producer, the value shall be adjusted to the point at which the buyer receives the good within the territory of the Party where the producer is located. 3. All records of costs considered for the calculation of regional value content shall be recorded and maintained in accordance with generally accepted accounting principles applicable in the territory of the Party where the good is produced. 4. When the producer of a good acquires a non-originating material in the territory of a party is located, where the value of the non-originating material shall not include freight and insurance costs, packing and all other costs incurred in transporting the material from the warehouse of the supplier to the place where the producer is located. 5. For purposes of calculating the regional value content of the value of the non-originating materials used by the producer in the production of a good shall not include the value of non-originating materials used by: (a) Another producer in the production of an originating material...

  • Arbitration Rules (a) The arbitration shall be conducted in accordance with this Employment Agreement, using as appropriate the AAA Employment Dispute Resolution Rules in effect on the date hereof. The arbitrator shall not be bound by the rules of evidence or of civil procedure, but rather may consider such writings and oral presentations as reasonable business people would use in the conduct of their day-to-day affairs, and may require both Parties to submit some or all of their respective cases by written declaration or such other manner of presentation as the arbitrator may determine to be appropriate. The Parties agree to limit live testimony and cross-examination to the extent necessary to ensure a fair hearing on material issues. (b) The arbitrator shall take such steps as may be necessary to hold a private hearing within 120 days of the initial request for arbitration and to conclude the hearing within two days; and the arbitrator’s written decision shall be made not later than 14 calendar days after the hearing. The Parties agree that they have included these time limits in order to expedite the proceeding, but they are not jurisdictional, and the arbitrator may for good cause allow reasonable extensions or delays, which shall not affect the validity of the award. Both written discovery and depositions shall be allowed. The extent of such discovery will be determined by the Parties and any disagreements concerning the scope and extent of discovery shall be resolved by the arbitrator. The written decision shall contain a brief statement of the claim(s) determined and the award made on each claim. In making the decision and award, the arbitrator shall apply applicable substantive law. The arbitrator may award injunctive relief or any other remedy available from a judge, including consolidation of this arbitration with any other involving common issues of law or fact which may promote judicial economy, and may award attorneys’ fees and costs to the prevailing Party, but shall not have the power to award punitive or exemplary damages. The Parties specifically state that the agreement to limit damages was agreed to by the Parties after negotiations.

  • Country of Origin 3.3.1 For purposes of this clause, “Origin” means the place where the Goods were mined, grown or produced.
