Safeguarding PHI. CONTRACTOR agrees to use appropriate safeguards to prevent use or disclosure of PHI other than as provided for by this BAA or as required by State or Federal law, regulation, or rule.

Safeguarding PHI. Contractor agrees to use appropriate safeguards to prevent use or disclosure of PHI other than as provided for by this BAA or as required by State or Federal law, regulation, or rule.
Safeguarding PHI. The Business Associate shall develop, implement, maintain and use appropriate administrative, technical and physical safeguards to prevent the improper use or disclosure of any PHI received from or on behalf of the Covered Entity for any purpose other than those expressly permitted under the Agreement.
Safeguarding PHI. The Business Associate shall develop, implement, maintain and use appropriate administrative, technical and physical safeguards to prevent the improper use or disclosure of any PHI that is created, received, maintained or transmitted on behalf of the Covered Entity for any purpose other than those expressly permitted under the Agreement. Business Associate agrees to comply with Subpart C of 45 C.F.R. Part 164 with respect to Electronic Protected Health Information. Business Associate must secure all Electronic Protected Health Information by technological means that render such information unusable, unreadable, or indecipherable to unauthorized individuals. Destruction of Protected Health Information on paper, film or other hard copy media must involve either shredding or otherwise destroying the PHI so that it cannot be read or reconstructed. Should any employee or subcontractor of Business Associate have direct, authorized access to computer systems of Covered Entity that contain PHI, Business Associate shall immediately notify Covered Entity of any change of such personal in order for Covered Entity to disable the previously authorized access.
Safeguarding PHI. The Business Associate shall use appropriate safeguards to prevent use or disclosure of PHI other than as provided for by this Addendum.
Safeguarding PHI. Business Associate shall comply with the HIPAA Security Rule with respect to EPHI. Business Associate agrees that it will use appropriate safeguards to prevent the use or disclosure of PHI in a manner contrary to the terms and conditions of this Agreement and will implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity and availability of EPHI that Business Associate creates, receives, maintains, or transmits on behalf of Covered Entity. Such safeguards shall include, but not be limited to those required by applicable law, including, but not limited to, the Privacy and Security Rule. Business Associate shall ensure that: only those employees and agents of Business Associate that have a business need to know PHI are provided with access to it; access is limited to the minimum amount necessary to accomplish the intended purpose of the access; all employees and agents of Business Associate handling PHI are educated on how to maintain its confidentiality and the requirements of this Agreement; and all PHI is stored and transmitted in a secure environment and in a manner that prevents its inadvertent disclosure.
Safeguarding PHI. The business associate agreement shall require the business associate to safeguard the PHI in accordance with the requirements of the HIPAA Privacy Standards at 45 C.F.R. § 164.504(e)(1). See Business Associate Agreement for standard business associate agreement provisions.

Safeguarding PHI. Contractor shall use appropriate Administrative Safeguards, Physical Safeguards and Technical Safeguards to prevent the use or disclosure of PHI other than as permitted by this BAA. Contractor shall maintain an appropriate level of security with regard to all personnel, systems, and administrative processes used by Contractor to transmit, store, process, or otherwise handle PHI. Contractor shall not transmit PHI over any open network unless the transmission is encrypted or otherwise secured according to the appropriate standard of care. Accordingly, Contractor shall (i) comply with the Security Rule; (ii) implement Administrative Safeguards, Physical Safeguards, and Technical Safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of Electronic PHI that it creates, receives, maintains, or transmits on behalf of OHCA as required by section 164.314(a) of the Security Rule and in accordance with the National Institute of Standards and Technology (“NIST”) Cybersecurity Framework; and (iii) require that any agent or Subcontractor to whom Contractor delegates any function or activity it has undertaken to perform on behalf of OHCA, and to whom Contractor provides Electronic PHI received from, or created or received by Contractor on behalf of OHCA, agrees to implement reasonable and appropriate safeguards to protect such Electronic PHI. Further, to the extent that Contractor conducts any Transaction (as defined in 45 CFR 160.103) electronically on behalf of OHCA, it will comply with the applicable requirements in the Standards for Electronic Transactions under 45 CFR Parts 160 and 162.
