Common use of Sale and Assignment Clause in Contracts

Sale and Assignment. (A) Subject to the terms of the Asset Purchase Agreement, Seller does hereby sell, transfer, convey and assign to Purchaser all of Seller's right, title and interest as of the Closing Date in and to the Assets. (B) Purchaser hereby accepts the transfer, assignment and conveyance of the Assigned Contracts and Assumed Leases and agrees from and after the date hereof to perform the obligations of Seller under the Assigned Contracts and Assumed Leases.

Sale and Assignment. (Aa) Subject to the terms of the Asset Purchase Agreement, the Seller does hereby sell, transfer, convey and assign to the Purchaser all of the Seller's ’s right, title and interest as of the Closing Date in and to the Purchased Assets. (Bb) The Purchaser hereby accepts the transfer, assignment and conveyance of the Assigned Assumed Contracts and Assumed Leases and agrees from and after the date hereof to perform the obligations of the Seller under the Assigned Contracts and Assumed LeasesContracts.

(A) Subject to the terms and conditions of the Asset Purchase Agreement, Seller does hereby sell, transferconvey, convey assign, transfer and assign to Purchaser deliver unto Buyer, its assigns, transferees and successors, forever, all of Seller's right, title and interest as of the Closing Date in and to the Purchased Assets described in SECTION 1.1 of the Asset Purchase Agreement, subject to the Assumed Liabilities that relate to the Purchased Assets. (B) Purchaser hereby accepts the transfer, assignment and conveyance of the Assigned Contracts and Assumed Leases and agrees from and after the date hereof to perform the obligations of Seller under the Assigned Contracts and Assumed Leases.
