Sale and Exchange of Assets. Sell, exchange, lease, assign, transfer or otherwise dispose of any asset exceeding one hundred thousand dollars ($100,000) in value to any Person (except in the ordinary course of business or to the extent such asset is obsolete or no longer used or useful in the business of Borrower), or sell, exchange, lease, assign, transfer or otherwise dispose of all or substantially all of its property; provided, however, that SCH and/or CCN may sell, exchange, lease, assign, transfer or otherwise dispose of all or substantially all of its property to CareCentric, or any wholly-owned subsidiary of CareCentric.
