Common use of Sale and Issuance of Common Units Clause in Contracts

Sale and Issuance of Common Units. (a) Subject to the terms and conditions of this Agreement, and in partial consideration of the license granted to the Licensee pursuant to the License Agreement, the Company will hereby issue and deliver to Omega at the closing [***] ([***]) Common Units which, as of the closing date of the Eligible Financing, equals [***] percent ([***]%) of the Company’s Fully Diluted Capitalization immediately following such issuance (such Common Units issued to Omega are referred to herein as the “Units”).

Sale and Issuance of Common Units.
