Common use of SALE AND ISSUANCE OF THE NOTE Clause in Contracts

SALE AND ISSUANCE OF THE NOTE. Subject to the terms and conditions of this Agreement, each Purchaser agrees to purchase at the Closing and the Company agrees to sell and issue to Purchaser a Note in the principal amount of $300,000 and a Warrant exercisable into 1,000,000 shares of Common Stock. The purchase price of the Note and the Warrant shall be equal to 100% of the principal amount of such Note.

SALE AND ISSUANCE OF THE NOTE. Subject to the terms and conditions of this Agreement, each Purchaser agrees to purchase at the Closing and the Company agrees to sell and issue to Purchaser a Note in the principal amount of $300,000 200,000 and a Warrant exercisable into 1,000,000 666,667 shares of Common Stock. The purchase price of the Note and the Warrant shall be equal to 100% of the principal amount of such Note.

Subject to the terms and conditions of this Agreement, each Purchaser agrees to purchase at the Closing and the Company agrees to sell and issue to Purchaser a Note in the principal amount of $300,000 100,000 and a Warrant exercisable into 1,000,000 333,333 shares of Common Stock. The purchase price of the Note and the Warrant shall be equal to 100% of the principal amount of such Note.

SALE AND ISSUANCE OF THE NOTE. Subject to the terms and conditions of this Agreement, each Purchaser agrees to purchase at the Closing and the Company agrees to sell and issue to Purchaser a Note in the principal amount of $300,000 50,000 and a Warrant exercisable into 1,000,000 166,166 shares of Common Stock. The purchase price of the Note and the Warrant shall be equal to 100% of the principal amount of such Note.
