Common use of Sale and Issuance of Units Clause in Contracts

Sale and Issuance of Units. Subject to the terms and conditions of this Agreement, each Buyer agrees, severally and not jointly, to purchase, and the Company agrees to sell and issue to each Buyer, the number of Units set forth in the column designated “Number of Units” opposite such Buyer’s name on the Schedule of Buyers, which in the aggregate shall be up to Nine Million Three Hundred Twenty Six Thousand Two Hundred Ten Dollars ($9,326,210) or more of Units, at a cash purchase price of $4.70 per Unit (the “Purchase Price”). The Company’s agreement with each Buyer is a separate agreement, and the sale and issuance of the Units to each Buyer is a separate sale and issuance.
