Common use of Sale and Purchase of Shares Clause in Contracts

Sale and Purchase of Shares. At the Closing, upon all of the terms and conditions hereof, Seller shall sell, assign and transfer to Buyer the Shares, and Buyer shall purchase and acquire the Shares, free and clear of any and all liens, encumbrances or rights of third parties.

Sale and Purchase of Shares. At the Closing, upon all of Subject to the terms and conditions hereof, at the Closing, each Seller shall sell, convey, assign and transfer such Seller’s Shares to Buyer the SharesBuyers, and each Buyer shall purchase purchase, acquire and acquire accept from the SharesSellers, free and clear of any and all liensLiens (other than Permitted Liens), encumbrances or rights of third partiesthe Shares set forth opposite such Buyer’s name on Schedule A hereto in the column labeled “Shares” for the consideration set forth herein.

At Upon the terms and subject to the conditions set forth herein, at the Closing, upon the Sellers shall sell and transfer to the Purchaser, and the Purchaser hereby agrees to purchase from the Sellers, all of the terms Sellers’ right, title and conditions hereof, Seller shall sell, assign and transfer interest to Buyer the Shares, and Buyer shall purchase and acquire the Subject Shares, free and clear of any and all liensLiens, encumbrances or rights in exchange for the payment by the Purchaser to the Sellers of third partiesthe Purchase Price.

At the Closingclosing of the sale and purchase of the Shares (the "CLOSING"), upon all of the terms and subject to the conditions hereofcontained herein, each Seller shall sell, assign assign, transfer, convey and transfer to Buyer the Shares, and Buyer shall purchase and acquire the Shares, deliver free and clear of any all Liens (other than limitations on resale under applicable securities Laws and all liensrestrictions on future sales imposed under the Stockholders' Agreement) to the Purchaser, encumbrances or rights of third parties.and the Purchaser shall purchase from each Seller, the Shares owned by such Seller set forth opposite such Seller's name on Exhibit A.
