Common use of SALE AND PURCHASE OF THE SALE SHARES Clause in Contracts

SALE AND PURCHASE OF THE SALE SHARES. Subject to the terms and conditions of this Agreement, the Vendor shall sell and the Purchasers shall purchase the Sale Shares, free from all charges, liens, encumbrances, equities or other adverse claims or interests and with all rights now and hereafter attaching thereto including the right to all dividends paid, declared or made in respect thereof at the Purchase Price.

SALE AND PURCHASE OF THE SALE SHARES. Subject to the terms and conditions of this Agreement, the Vendor shall sell and the Purchasers shall purchase purchase, in the following proportions, the Sale Shares, free from all charges, liens, encumbrances, equities or other adverse claims or interests and with all rights now and hereafter attaching thereto including the right to all dividends paid, declared or made in respect thereof at the Purchase Price.

SALE AND PURCHASE OF THE SALE SHARES. Subject 2.1 On and subject to the terms and conditions of this Agreement, the Vendor Seller shall sell and the Purchasers shall purchase the Sale Shares, Shares to the Purchaser. 2.2 The Sale Shares shall be sold free from all charges, liens, encumbrances, equities or other adverse claims or interests Encumbrances and together with all rights now and hereafter advantages attaching thereto to them as at Seller Closing Date (including the right to receive all dividends paidor distributions declared, declared made or made in respect thereof at the Purchase Pricepaid on or after Seller Closing Date).

Subject to and in accordance with the terms and conditions of this Agreement, the Vendor shall sell and transfer, and the Purchasers Purchaser shall purchase the Sale Shares, Shares free from all charges, liens, encumbrances, equities or other adverse claims or interests Encumbrances and together with all rights now and hereafter attaching thereto or accruing to them at Completion, including the right to receive all distributions and dividends paidas declared, declared paid or made in respect thereof at of the Purchase PriceSale Shares on or after Completion.
