SALE AND TRANSFER OF COMMON SHARES. Upon to the terms and subject to the conditions set forth herein, each Shareholder shall sell to the Purchaser, and the Purchaser shall purchase from such Shareholder, on the Closing Date (as hereinafter defined), the number of Common Shares set forth opposite the name of such Shareholder in Schedule I hereto under the heading "Common Shares."
