Common use of Sale and Transfer of Shares Clause in Contracts

Sale and Transfer of Shares. On the terms and subject to the conditions of this Agreement, on the Closing Date, Seller shall sell, convey, assign, transfer and deliver to Buyer, and Buyer shall purchase and acquire from the Seller the Shares.

On Subject to the terms and subject to the conditions of this Agreement, at the Closing, the Selling Shareholders shall sell and deliver, or provide documents sufficient to ensure the transfer on the Closing DateDate of, Seller shall sellthe Shares to the Purchaser, convey, assign, transfer free and deliver to Buyer, and Buyer shall purchase and acquire from the Seller the Sharesclear of all Encumbrances.

On Subject to the terms and subject to the conditions of this Agreement, on at the Closing Datethe Selling Shareholders are selling, Seller shall sellconveying, conveyassigning, assigntransferring and delivering to Purchaser all of the issued and outstanding Shares of the Company owned by any of the Selling Shareholders as set forth on Exhibit A hereto and all rights to acquire Shares of the Company, transfer free and deliver clear of all Encumbrances, except as provided in the Security Agreement referred to Buyer, and Buyer shall purchase and acquire from the Seller the Sharesherein.
