Common use of Sale and Transfer of Shares Clause in Contracts

Sale and Transfer of Shares. Subject to the terms and conditions of this Agreement, at the Closing, each Shareholder shall sell, convey, assign, transfer and deliver to Purchasers the number of Shares set forth opposite such Shareholder's name on Exhibit A hereto, free and clear of all Encumbrances.

Sale and Transfer of Shares. Subject to the terms and conditions of this Agreement, at the Closing, each Shareholder Closing Seller shall sell, convey, assign, transfer and deliver to Purchasers Purchaser all of Seller's right, title and interest in and to the number of Shares set forth opposite such Shareholder's name on Exhibit A heretoissued and outstanding Shares, free and clear of all Encumbrances, except for any Encumbrance arising under the Securities Act or any applicable state securities laws.

Subject to the terms and conditions of this Agreement, at the ClosingClosing the Selling Shareholders are selling, each Shareholder shall sellconveying, conveyassigning, assign, transfer transferring and deliver delivering to Purchasers Purchaser all of the number issued and outstanding Shares of Shares the Company owned by any of the Selling Shareholders as set forth opposite such Shareholder's name on Exhibit A heretohereto and all rights to acquire Shares of the Company, free and clear of all Encumbrances, except as provided in the Security Agreement referred to herein.

Subject to the terms and conditions of this Agreement, at the Closing, each Shareholder Closing Seller shall sell, convey, assign, transfer and deliver to Purchasers Purchaser or one or more Designated Purchaser Affiliates the number of Shares set forth opposite such Shareholder's name on Exhibit A heretoShares, and shall cause the Outside Inventory Sellers to sell, convey, assign, transfer and deliver to Designated Purchaser Affiliates the Outside Inventory, in each case, free and clear of all Encumbrances, except for restrictions on transfer of the Shares arising under the Securities Act or any applicable state or foreign securities laws.
