Common use of Sale and Transfer of the Company Clause in Contracts

Sale and Transfer of the Company. The Buyer shall reserve the right to sell, i.e. transfer Company shares, with a consent of the Seller, to any person under control of the Buyer, where “control” means register, i.e. give more than 50% or more shares with voting right to any person authorized by the Buyer, representing direct or indirect subsidiary company, which is as a whole in the ownership of the Buyer. All terms and provisions of this Agreement are biding and obliged on behalf of or obliged for all legal successors or successors of Parties from this Agreement. In any case of such transfer the Buyer shall remain directly and fully responsible for the fulfillment of its obligations assumed in this Agreement.
