Sale/Assignment/Transfer. We may sell, assign, or transfer all or any portion of your Account or any balances due under your Account without prior notice to you. You may not sell, assign, or transfer your Card or your Account or any of your obligations under this Agreement.

Debtor shall not sell, assign, transfer, factor, or otherwise dispose of any Collateral or any other Property of Debtor, except that Debtor may sell (i) Inventory in the ordinary course of Debtor's business, and (ii) Equipment that is obsolete and no longer useful in Debtor's business, which sales of Equipment shall be for fair consideration.
Sale/Assignment/Transfer. This Agreement, the Orders and the rights and obligations hereunder may not be assigned without the prior written consent of the other party, which consent shall not be unreasonably withheld. Notwithstanding the foregoing, either party may assign this Agreement and/or the Orders then in effect without the consent of the other party to any of its Affiliates provided, however, that it shall remain jointly and severally liable for the performance of the assignee's obligations under this Agreement. With the exception of a sale, assignment or transfer by E-SPACE of its rights hereunder to a transferee and with the exception of an assignment or transfer by Client to an Affiliate, as provided for in the preceding paragraph, no third party is, nor shall be deemed to be, a beneficiary of any provision of this Agreement, nor shall any third party have any right to enforce any provision or take any action to cure any default under this Agreement.
