Common use of SALE BY LANDLORD Clause in Contracts

SALE BY LANDLORD. 26.01 In the event of a sale or conveyance or transfer by Landlord of its interest in the Property and/or in the Building containing the Premises, and/or in this Lease, the same shall operate to release Landlord from any future liability upon any of the covenants or conditions, expressed or implied, contained in favor of Tenant, and in that event, Tenant agrees to look solely to the responsibility of the successor in interest of Landlord in and to this Lease. This Lease shall not be affected by any such conveyance or transfer, and Tenant agrees to attorn to such purchaser or transferee. Landlord shall deliver to Tenant upon such sale conveyance or transfer a written assumption of all of Landlord’s obligations and liabilities under this Lease, duly executed by the purchaser or transferee.
