Sale of Buyer Subordinated Units. Subject to the terms and conditions and in reliance upon the representations and warranties set forth in this Agreement, at the Closing, Seller shall sell and assign to Buyer, and Buyer shall purchase and acquire from Seller, the Buyer Subordinated Units for the Purchase Price free and clear of all Encumbrances and subject to no restrictions other than those restrictions on the transfer of the Buyer Subordinated Units contemplated hereby, or arising from applicable federal and state securities laws and from the terms of the Company Partnership Agreement.
