Common use of Sale of Common Stock Clause in Contracts

Sale of Common Stock. Subject to the terms and conditions hereof, on the Closing Date, as defined below, the Company will issue and sell to Purchaser, and Purchaser will purchase from the Company, an aggregate of 25,000 shares of Common Stock, par value $0.001 per share, of the Company (the "Common Stock"), for an aggregate purchase price of $2,500.

Sale of Common Stock. Subject to the terms and conditions hereof, on the Closing Date, as defined below, the Company will issue and sell to Purchaserthe Purchasers, and Purchaser the Purchasers will purchase from the Company, an aggregate of 25,000 of, 10,000 shares of Common Stock, par value $0.001 per share, of the Company (the "Common Stock"), at a price per share of $4.00 for an aggregate purchase price of $2,50040,000. The number of shares of Common Stock to be purchased and the purchase price to be paid by each Purchaser are outlined on EXHIBIT A, which is incorporated herein by this reference.

Subject to the terms and conditions hereof, on the Closing Date, as defined below, the Company will issue and sell to Purchaser, the Purchaser and the Purchaser will purchase buy from the CompanyCompany one million, an aggregate of 25,000 four hundred fifty thousand (1,450,000) shares of Common Stock, par value $0.001 per share, of the Company Stock (the "Common StockShares") at a per share purchase price of $12.00 (the "Purchase Price Per Share"), for an aggregate purchase price of seventeen million, four hundred thousand dollars ($2,50017,400,000.00).
