Common use of Sale of Notes Within and Outside the United States Clause in Contracts

Sale of Notes Within and Outside the United States. In respect of an issue of Notes sold in primary distribution both within and outside the United States, an interest in the Book- Entry Note deposited with DTC or its nominee may be exchanged for an interest in the same or one or more other Book-Entry Notes representing Notes sold outside the United States may be exchanged for an interest in the Book-Entry Note deposited with DTC or its nominee upon the request of a Holder to the Registrar, and the Registrar shall record the relevant decrease and increase in the principal amounts in authorized denominations, of such respective Book-Entry Notes in the Note Register.
