Common use of Sale of Purchased Assets Clause in Contracts

Sale of Purchased Assets. (a) At the Closing, Seller shall sell, convey, transfer, assign and deliver to Buyer the Purchased Assets, free and clear of all liens, claims, mortgages or encumbrances, except for Permitted Liens. Seller will execute and deliver the Bill xx Sale and such other documents of transfer and assignment as may be necessary to consummate the foregoing.

Sale of Purchased Assets.
