Sale of the Share. Upon the execution of this Agreement as provided in Section 3.1 hereto (the "Closing"), SELLER shall sell to PURCHASER and PURCHASER shall purchase from SELLER, the Shares. Concurrently, SELLER shall issue and deliver a certificate or certificates representing the Shares to PURCHASER.
