SALE OF THE TRUST ESTATE BY DELAWARE TRUSTEE IS BINDING. Any sale or other conveyance of the Trust Estate or any part thereof by the Delaware Trustee made pursuant to the terms of this Trust Agreement or the Indenture shall bind the Certificateholders and shall be effective to transfer or convey all right, title and interest of the Trust, the Delaware Trustee and the Certificateholders in and to the Trust Estate or such part thereof. No purchaser or other grantee shall be required to inquire as to the authorization, necessity, expediency or regularity of such sale or conveyance or as to the application of any sale or other proceeds with respect thereto by the Delaware Trustee.
