Sale, Purchase and Transfer of Assets; Consideration. Subject to the terms and conditions of this Agreement, and in exchange for good and valuable consideration (the receipt of which is hereby acknowledged) consisting of the Buyer’s assumption of the liabilities of the Business, Seller agrees to sell, transfer and assign and Buyer agrees to purchase and accept on the terms stated herein, all of Seller's right, title and interest in and to the Business and the Business’ Assets, including, without limitation, the following:
