Sale To Buyer Of Remaining FF&E. (a) At the Closing, Seller shall convey to Buyer all FF&E free and clear of all liens, encumbrances, licenses, or leases. The cost of the FF&E is included in the Purchase Price. THE FF&E SOLD UNDER THIS AGREEMENT IS SOLD AS USED OR SURPLUS MATERIAL AND IS SOLD AS IS, WHERE IS, WITH ALL FAULTS, LATENT AND PATENT. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, SELLER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR WARRANTY AGAINST PATENT, TRADEMARK, OR COPYRIGHT INFRINGEMENT.
