Sales Agent. The Supplier shall be entitled to appoint, at its own expense, its subsidiary company "Tatneft-AZS Center" LLC as its sales agent (hereinafter referred to as the “Sales Agent”) to act for and on behalf of the Supplier in accordance with this clause. The Sales Agent shall perform the following actions only for and on behalf of the Supplier in connection with the Supplier's Product, to be delivered in accordance with the terms of this Contract: · Ascertains the compliance of technical specifications of the vessel, suggested by the Buyer for shipment of Product, to be in accordance with the conditions of the terminal, and shall make all necessary arrangements with the port agencies. In case of any discrepancies in the shipping instructions the Sales Agent shall take remedial measures through negotiation with the Buyer and, if required, shall notify the Supplier thereof; · Based on the shipping instructions received from the Buyer the Sales Agent shall prepare and forward relevant instructions on behalf of the Supplier to a customs broker, forwarding agent, terminal, and it shall monitor their timely and precise fulfilment; · Deals with the Buyer's claim(s) on demurrage, carries on correspondence with the Buyer, requests necessary confirming documents and clarifications, settles claims providing the correspondence of Buyer's claim invoices to the terms of the Contract. If required, upon additional agreement with the Supplier and at the Supplier's expense the Sales Agent shall participate in any court (arbitration) proceeding on issues related to demurrage and the above-stated additional expenses; · Mutually agree with the Buyer on the independent inspector for quantity and quality analysis and makes proper nomination to the inspector. The Sales Agent acting hereunder shall not be entitled to provide any services to any of the Parties and, as a result, has no legal right to demand consideration for such services as forwarding, customs clearance, analysis and consulting, and any other actions that can be classified as non-agent services. Sales Agent. FLAG shall have the right to accept or reject any offers to purchase capacity ("purchase" being defined under the Agreement) which are presented by BANSB to FLAG, but FLAG shall not unreasonably refuse to accept such offers. FLAG and BANSB shall divide equally the net sale proceeds of the purchase price from any such sale of capacity. No additional commission will be earned pursuant to Section 3 of this Marketing Transition Agreement with respect to any capacity sold pursuant to this Section 4. The marketing activities as to the four DS-3s will be coordinated with FLAG.
