Sales and Adverse Claims Relating to Receivables. Except as otherwise provided herein, the Seller will not (by operation of law or otherwise) dispose of or otherwise transfer, or create or suffer to exist any Adverse Claim upon, any Receivable or any proceeds thereof.

Except as otherwise provided herein and except in connection with the transfer of Receivables pursuant to a Distribution Center Consolidation, the Seller will not, and will not permit the Originator or the Servicer to, (by operation of law or otherwise) dispose of or otherwise transfer, or create or suffer to exist any Adverse Claim upon, any material portion of the Transferred Receivables or any proceeds thereof or any other property or assets of the Seller.

Except as otherwise provided herein, the Seller will not, and will not permit the Originator to (by operation of law or otherwise), create or suffer to exist any Adverse Claim upon any Receivable or any proceeds thereof except for a lien for personal property taxes not yet due and payable.

Except as otherwise provided herein, the Servicer will not (by operation of law or otherwise) dispose of or otherwise transfer, or create or suffer to exist any Adverse Claim upon, the Receivables, the Collections, the Purchase Agreement, the proceeds thereof or any assets which may give rise to a Receivable.

Except with respect to Permitted Liens, the Borrower will not, and will not permit any Originator to, (by operation of law or otherwise) dispose of or otherwise transfer, or create or suffer to exist any Adverse Claim upon, any inventory or goods (other than in the ordinary course of business) the sale of which may give rise to a Receivable or any proceeds thereof.
