Common use of Sales of Common Stock to Employees Only Clause in Contracts

Sales of Common Stock to Employees Only. Notwithstanding anything in this Agreement to the contrary, the Company shall have no obligation to issue, sell or deliver any shares of Common Stock to any person (i) who is not a full-time employee of, or consultant to, the Company or any of its subsidiaries on the Closing Date or (ii) who is a resident of a jurisdiction in which such issuance, sale or delivery to such person would constitute a violation of the securities or "blue sky" laws of such jurisdiction.
