Sales of Securities to St. Cloud. Without St. Cloud’s consent, Parent will not issue securities to St. Cloud in the future if such issuance would cause to St. Cloud to be deemed to be a member of an “Investor Group” in “Control” of Parent (as such terms are defined in 13 C.F.R. Section 107.865).
