Sales Representations. Except with the express written permission of the Trust, Integrity Life and its agents will not make any representations concerning the Funds other than those contained in (w) the then current prospectuses and related statements of additional information of the Trust or any Fund, (x) published reports or other materials of the Trust that are in public domain and approved by the Trust for distribution, (y) any current printed sales literature of the Trust or any Fund and (z) any current printed sales literature related to the Contracts that is delivered to the Trust and as to which the Trust has not objected by notice to Integrity Life given in accordance with Section 17.

Each Target has delivered to Parent true, correct and complete copies of all written agreements described in Schedule 4.24(f). Each Target has delivered to Parent true, correct and complete copies of all written correspondence and memoranda evidencing such oral agreements described in Schedule 4.24(f). The payments payable to all parties to each such oral agreement are set forth on such Schedules.

Sales Representations. Co-Broker and all sales persons shall be authorized only to make representations concerning the Development or sale of the Developer Lots and Homes that have previously been approved by Developer.

The Borrower agrees that prior to allowing any of its sales representatives from taking into his or her possession any of the Collateral (as defined in the Security Agreement) the Borrower shall (i) have each such sales representative execute a "Memo on Stock" and obtain a Landlord Consent and Estoppel Certificate, if applicable, in form and substance satisfactory to the Bank and deliver copies of the same to the Bank and (ii) execute all UCC-1 financing statements and similar documents as the Bank may request to provide the Bank with a first priority perfected security interest in such Collateral.
Sales Representations. (a) AFFILIATE agrees to incorporate promotional materials furnished by INTERVAL into the sales program at the PROJECT. Additionally, AFFILIATE agrees to fully and accurately describe the use of the INTERVAL NETWORK to all prospective purchasers at the PROJECT.

Additionally, AFFILIATE agrees to fully and accurately describe the use of the INTERVAL NETWORK to all prospective purchasers in the CLUB. AFFILIATE further agrees not to make any representations regarding the services of INTERVAL which are not included in written materials either provided by INTERVAL or which have not been approved by INTERVAL in writing.

Columbus Life and its agents shall not make any representations concerning the Funds other than those contained in (y) the then current prospectuses and related statements of additional information of the Separate Account for the Contracts issued by the Separate Account and (z) any current printed sales literature of the Separate Account related to the Contracts that is delivered to the Trust and as to which the Trust has not objected by notice to Columbus Life given in accordance with Section 12.
