Salix Covenants. Salix hereby covenants and agrees that it will not, nor will it permit its Affiliates or Sublicensees to, at any time during the period ending on the later of the expiration or termination of this Agreement institute, prosecute or otherwise voluntarily participate in (or in any way voluntarily aid any Third Party in instituting, prosecuting or participating in), at law or in equity or before any administrative or regulatory body, including the United States Patent and Trademark Office or its foreign counterparts, any claim, demand, action or cause of action for declaratory relief, damages or any other remedy or for an enjoinment, injunction or any other equitable remedy, including any interference, re-examination, opposition or any similar proceeding, alleging that any claim in a Napo Patent is invalid, unenforceable or otherwise not patentable or would not be infringed by Salix’s activities absent the rights and licenses granted by Napo to Salix under Section 10.1.
