Common use of Sarbanes-Oxley Certification Clause in Contracts

Sarbanes-Oxley Certification. A. For Mortgage Loans that are pxxx xx x Xxxxxitization Transaction occurring on or before December 31, 2005, with respect to which a Sarbanes Certifying Party files a Sarbanes-Oxley certification directly with the Securities Exchxxxx Xxxxxxxxxn (a "Transaction"), by February 28, 2006 (or if such day is not a Business Day, the immediately preceding Business Day), or in connection with any additional Sarbanes-Oxley certifications directly filed by the Sarbanes Cxxxxxxxxx Xxxxy, upon thirty (30) days written request, an officer of the Company shall execute and deliver an Officer's Certificate to the Sarbanes Certifying Party for the benefit of such Sarbanes Certifying Party and its officers, directors and affiliates, certifying as to the following matters:
