Satisfaction Date Deliveries. On the Satisfaction Date, Acquirer shall deliver to the Company a certificate confirming that all of the conditions set forth in Section 7.1 and Section 7.2 of this Agreement have been satisfied or waived (other than those conditions that, by their terms, are intended to be satisfied at the Closing) and that such date shall be deemed the “Satisfaction Date” under the terms of this Agreement. On the Satisfaction Date, the Company shall deliver to Acquirer a certificate confirming that all of the conditions set forth in Section 7.1 and Section 7.3 of this Agreement have been satisfied or waived (other than those conditions that, by their terms, are intended to be satisfied at the Closing) and that such date shall be deemed the “Satisfaction Date” under the terms of this Agreement.
