Common use of Satisfaction of Indebtedness Clause in Contracts

Satisfaction of Indebtedness. At or prior to the Closing, Seller shall have paid or otherwise satisfied (or cause to be paid or otherwise satisfied), or otherwise made arrangements with respect to, the Indebtedness payable by each Acquired Company, such that effective as of the Closing, each Acquired Company shall have no Indebtedness or any Indebtedness shall be satisfied, defeased or discharged as of the Closing Date.

Satisfaction of Indebtedness. At or prior to the Closing, Seller shall have paid or otherwise satisfied (or cause caused to be paid or otherwise satisfied), ) or otherwise made make arrangements with respect to, the Indebtedness payable by each Acquired Companyto Company Debt, such that effective as each of the Closing, each Acquired Company Intasco and Intasco USA shall have no Indebtedness Company Debt or any Indebtedness Company Debt shall be satisfied, defeased or discharged as of the Closing Date.

Satisfaction of Indebtedness. At On or prior to the ClosingClosing Date, Seller shall have paid or otherwise satisfied (cause the Corporation to pay, or cause to be paid as Discharged Indebtedness, all Indebtedness capable of being paid at Closing or to otherwise satisfied), or otherwise made arrangements obtain a release of all liability of the Corporation with respect to, the Indebtedness payable by each Acquired Company, such that effective as of the Closing, each Acquired Company shall have no Indebtedness or any Indebtedness shall be satisfied, defeased or discharged as of the Closing Datethereto satisfactory in form and substance to Buyer.
