Satisfaction Regarding Approved Acquisition. The Administrative Agent and the Lenders, in their sole and absolute discretion, shall be satisfied with the tax, accounting, securities, regulatory and other legal issues in connection with the Approved Acquisition; the terms of the Approved Acquisition and the Acquisition Documents are satisfactory to the Administrative Agent and its counsel, in its sole and absolute discretion.
